GENERAL TERMS AND CONDITIONS OF SALE
SALES CONTRACT: Our general terms and conditions of sale take precedence over the buyer’s own terms and conditions, unless we have accepted deviations in writing. The sales contract is only fully legally valid on condition of our express acceptance of our customers’ orders.
The delivery includes precisely and exclusively the material specified in the specifications and the acceptance of the quotations also applies as acceptance of these terms and conditions.
All orders must be confirmed in writing within eight days.
The material is guaranteed for a period of 1 year against raw material or construction defects. This guarantee is limited to the replacement in our workshops of the parts found to be defective. This guarantee does not in any case cover defects that may arise from poor placement, errors in the installation or an injudicious choice of equipment, which was made without our consultation. This guarantee does not cover the travel costs of our technician, the material is considered to be repairable in our workshops.
PAYMENT: Our invoices are payable in OOSTERZELE within fourteen days after the invoice date, without discount. In the absence of payment for an invoice on the due date, all subsequent invoices become immediately due and further deliveries will only be made against cash payment.
In addition, all invoices unpaid on the due date will bear a default interest of 12% per year, without prior notice and it is expressly agreed between the parties that in this case the amount of our invoices will be increased by 25% by way of fixed agreed compensation with a minimum of €124 + legal costs.
We also reserve the right to take back the delivered values without prior notice and subject to all claims for compensation.
PRICES: The prices stated in our quotations are understood to be prices of the day, for goods in our establishments, VAT, packaging and transport costs not included.
In the event of an increase in wages and salaries, social security contributions, raw materials, transport costs, import duties and various taxes, exchange rate fluctuations and changes in the sales conditions of our suppliers, between the date of this letter and the date of execution, any increase will be borne by the customer.
The prices that we propose to you should therefore be considered as not binding for us, even if an advance payment has been made to us.
TRANSPORT: The goods are transported at the risk of the recipient, even in the case of carriage paid. We only insure the goods against transport risks at the request of the customer and at his expense.
COMPLAINTS: Complaints must be submitted in writing, before each use and within eight days of receipt of the goods.
ASSEMBLY: The assembly of our devices must be carried out by our customers. The necessary coupling diagrams are made available to the customer by us.
DELIVERY TIME: The delivery time is given for information purposes only. A delay in delivery cannot give rise to a claim for damages, nor to a refusal of the goods, unless a special provision has been accepted by us by registered letter.
DISPUTES: In the event of a dispute, the courts of Ghent shall have exclusive jurisdiction.
DRAWINGS: The drawings that we make available to our customers remain our property and may under no circumstances be transferred to third parties, neither for research nor for making a copy. The illustrations of our documents (photos, drawings and plans that are attached to our proposals) are only provided for information purposes.
WARRANTY: We do not under any circumstances assume that we will pay compensation for losses caused by interruption of the business or by other indirect causes that may have arisen due to defects in the delivered or repaired equipment.
PAYMENT: The delivered or repaired goods remain our full property, even after use, until full payment of the relevant invoices. In the event of non-payment, we reserve the right to take back the goods without the intervention of the courts.
